Well the only time I've had that problem I had to . . . uninstall MySQL and then delete all MySQL folders in C:\Program Files\ then, I had to restart my computer and reinstall MySQL... it worked then :\ if that doesn't work, another program MIGHT be using the default MySQL port (3306) so try changing it during the configuration.

delete your entire c:\programfile\mysql 5.0 and all subdirectories then reinstall

had this a few days ago, doing a full reinstall of Mysql fixed ti after deleting the files
